Pro Buyer Terms & Conditions

 

This Terms & Conditions apply to registered users of Alibaba.com (www.alibaba.com) (the “Users”). All applicable agreements and rules on Alibaba.com shall also apply to the Pro Buyer (as defined below). The Users who use the Pro Buyer Services (as defined below) shall be regarded as having read, fully understood and accepted this Terms & Conditions.

 

1.Definitions

 

1.1. Pro Buyer: A User with (i) an annual transaction value equal to or more than US $300,000; and/or (ii) an annual income of more than US $1million, subject to verifications by Alibaba.com at its sole discretion.

 

1.2. Pro Buyer Rights: The Pro Buyers are entitled to special rights in relation to products and services. The rights of Pro Buyers will be set out on Alibaba. com, may vary from time to time.

 

1.3. Pro Buyer Services: The services will be provided by Alibaba.com so that the Pro Buyer is entitled to the Pro Buyer Rights.

 

2.Membership Activation

 

2.1. Alibaba.com will send invitation to a User if such User is eligible to become a Pro Buyer. Such invitation will be sent via email or any other manners determined by Alibaba.com, and such User who receives an invitation will need to confirm acceptance of the membership pertaining to the Pro Buyer Rights (the “Membership”), subject to verifications by Alibaba.com at its sole discretion (the “Membership Activation#1”). Such User shall represent that it has full power and authority to confirm acceptance of the Membership. Save for the Membership Activation#1, some Users who meet the requirements for being Pro Buyers will be automatically upgraded to Pro Buyer status by Alibaba.com at its sole discretion (the “Membership Activation#2”, together with the “Membership Activation #1”, collectively “Membership Activation”). Such Users will receive notifications of the above upgrades where they will be entitled to opt out in the event that they don’t wish to be Pro Buyers.

 

2.2 Upon the Membership Activation, your Pro Buyer status will be shown on Alibaba.com and available to the selected suppliers at sole discretion of Alibaba.com.

 

2.3. The Membership is valid for 365 days from the date of Membership Activation. Upon or prior to the expiry date of the Membership, the User will be reassessed by Alibaba.com pursuant to the criteria for being a Pro Buyer. If such criteria are met, the Membership will be automatically renewed for successive 365-day periods. If such criteria are not met, the Membership will be terminated.

 

3.Pro Buyer Rights

 

3.1. Being a Pro Buyer will entitle a User to the following benefits, if applicable:

(A) Special offers on certain products, including discounted prices and coupons; and/or

(B) Special services provided by Alibaba.com

 

3.2. Alibaba.com will, at its sole discretion, update the benefits and services offered to the Pro Buyer from time to time.

 

4.Membership Termination

 

4.1. Save for the paragraph 2.3, the Pro Buyer Services may be terminated or suspended due to the following reasons:

(A) Alibaba.com has reasonable grounds to suspect that the Pro Buyer is improperly using its Pro Buyer Rights;

(B) there are misconducts of the Pro Buyer on Alibaba.com, including but not limited to dishonest or fraudulent acts;

(C) the Pro Buyer breaches applicable agreements and/or rules on Alibaba.com; and

(D) either the Pro Buyer or Alibaba.com wishes to terminate this Terms and Conditions with prior written notice.

 

4.2 Notification will be sent to the Pro Buyer if its Pro Buyer status is changed. If there is no notification, the Pro Buyer status shown on Alibaba.com shall be conclusive.

 

4.3. Indemnity

 

The Pro Buyer agrees to indemnify Alibaba.com, its affiliates, directors, employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from the Pro Buyer’s breach of this Terms and Conditions.

 

5.Governing Law; Dispute Resolution

 

This Terms and Conditions shall be governed by Hong Kong laws. Any dispute in connection with the Pro Buyer Services herein shall be subject to the exclusive jurisdiction of Hong Kong courts.
